Terms of Service

1. Acceptance of Terms
By accessing or using TripNov (accessible at tripnov.com and its subdomains, including app.tripnov.com and any custom domains you configure), you agree to be legally bound by these Terms of Service (“Terms”), our Privacy Policy, and any additional policies or guidelines incorporated herein by reference. If you do not agree to these Terms in their entirety, you must immediately cease accessing or using TripNov.
These Terms form a legally binding agreement between you (individually, or on behalf of the legal entity you represent) and TripNov, Lda. (“TripNov,” “we,” “us,” or “our”), a private limited company incorporated under the laws of Portugal, with registered offices in Lisbon, Portugal.
If you are accepting on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, “you” and “your” will refer to that entity.
2. Definitions
3. Description of Service
TripNov is a cloud-based SaaS platform designed for independent travel consultants and travel agencies. The platform provides:
- Client relationship management (CRM) — client records, lead tracking, and communication history.
- Travel proposal creation — customisable proposal templates, PDF generation, and client sharing.
- Trip itinerary builder — day-by-day itinerary construction with maps, media, and cost tracking.
- AI-assisted content generation — AI-powered tools to draft proposals, itinerary text, and chatbot responses.
- Website builder — a no-code branded website with custom domain support, blog, and lead capture forms.
- Traveller portal — a secure client-facing portal for itinerary viewing, messaging, document downloads, payments, and reviews.
- AI chatbot — a configurable chatbot for automated traveller interactions, with WhatsApp and Telegram integration.
- Team management — role-based access control for multiple team members within a single Workspace.
- Third-party integrations — WhatsApp Business API, Telegram, Google Drive, Google Sheets, and email platforms.
TripNov operates on a multi-tenant architecture. Each Workspace is an isolated environment. Your Client Data, proposals, and website assets are not accessible to other TripNov subscribers.
We reserve the right to modify, expand, or discontinue any feature at any time. We will provide advance notice of material changes that significantly affect your ability to use core features of a paid plan.
4. Eligibility
To use TripNov, you must:
- Be at least 18 years old (or the age of legal majority in your jurisdiction, if higher).
- Have the legal capacity to enter into a binding agreement.
- Not be a person or entity barred from using TripNov under the laws of Portugal, the European Union, or any other applicable jurisdiction.
- Use TripNov for lawful business purposes related to travel consultancy, travel agency operations, or related professional services.
TripNov is not intended for personal, household, or consumer use. If you are an EU consumer accessing TripNov for personal purposes, certain mandatory consumer protection rights under EU law may apply notwithstanding anything in these Terms.
5. Account Registration and Security
To use TripNov, you must register for an account by providing accurate, current, and complete information. You may register using an email address and password, or via Google OAuth. If you register via Google, your account identity is managed through Google's authentication system and subject to Google's Terms of Service and Privacy Policy.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account — including actions taken by team members you invite to your Workspace. You must immediately notify us at support@tripnov.com if you suspect unauthorised access to your account or any security breach.
TripNov implements email verification for new accounts. We also offer magic-link authentication as an alternative to passwords. You agree:
- Not to share your account credentials, magic links, or session tokens with unauthorised parties.
- Not to create accounts using automated methods, false identities, or disposable email addresses.
- Not to create multiple accounts to circumvent account restrictions, usage limits, or bans.
- To promptly update your account information if it changes.
We reserve the right to refuse registration or suspend accounts at our discretion, including where we suspect fraudulent activity or violation of these Terms.
6. Subscription Plans and Billing
Free plan. TripNov offers a permanent free tier with limited features and usage quotas. The free plan does not require a credit card.
Free trial. New accounts may access the Pro plan features for a 14-day trial period at no charge. No credit card is required to start a trial. At the end of the trial, your account automatically reverts to the free tier unless you activate a paid subscription.
Pro plan. The Pro plan is available on monthly or annual billing. Annual subscribers receive a discounted rate and additional features (including custom domain support for the website builder). Monthly subscribers receive a free subdomain (yourname.tripnov.com). Prices are displayed in EUR (or the applicable currency shown at checkout) and exclusive of VAT. Applicable taxes will be added at checkout in accordance with EU VAT rules.
Billing and renewals. Paid subscriptions are billed in advance at the start of each Subscription Period. Subscriptions renew automatically at the end of each period unless cancelled before the renewal date. We will send a reminder email at least 7 days before an annual renewal is charged. All payments are processed by Stripe, Inc. Your billing information is stored and managed by Stripe; TripNov does not store your full payment card details.
Price changes. We may change subscription prices from time to time. We will give you at least 30 days' advance notice of any price increase by email. If you do not accept the new price, you may cancel your subscription before the new pricing takes effect.
Cancellation. You may cancel your subscription at any time from your account settings or by contacting billing@tripnov.com. Cancellation takes effect at the end of the current Subscription Period. You retain access to paid features until the period ends. Cancellation does not trigger an immediate deletion of your data — the 30-day post-cancellation grace period described in our Privacy Policy applies.
Refunds. We do not provide pro-rated refunds for unused portions of a Subscription Period, except where required by applicable law. If you believe you were charged in error, contact billing@tripnov.com within 30 days of the charge and we will investigate. Notwithstanding the foregoing, EU consumers have the right to withdraw from a contract within 14 days of entering into it, unless performance has already begun with their explicit prior consent and acknowledgement that the right of withdrawal is lost upon commencement of performance.
Failed payments. If a payment fails, we will notify you by email and attempt to re-charge on subsequent days. If payment remains outstanding after a grace period of 7 days, we may downgrade your account to the free tier or suspend access until the outstanding amount is settled.
Taxes. You are responsible for all applicable taxes, duties, levies, and similar governmental charges associated with your purchase, other than taxes based on TripNov's net income.
7. AI Credits and Usage
Included AI allowance. Depending on your subscription plan, a monthly AI usage allowance may be included. Usage is measured in tokens consumed by AI model requests (proposal generation, itinerary drafting, chatbot responses). Included allowances reset at the start of each monthly billing cycle and do not roll over.
AI credit top-ups. When your included allowance is exhausted, you may purchase additional AI credits via the AI Billing section of your account settings. AI credits are prepaid, non-refundable (except where required by law), and do not expire for the duration of your active subscription. If your subscription lapses, unused credits are forfeited.
AI usage tracking. TripNov maintains transparent AI usage logs (call type, AI model, tokens consumed, cost) accessible to workspace owners in the API Usage section of account settings. We do not charge for AI usage beyond published rates.
AI model availability. TripNov uses third-party AI model providers (Google Gemini, OpenAI). Model availability is subject to the policies and availability of those providers. We reserve the right to switch AI model providers, adjust models, or modify AI feature behaviour at any time. We will notify you of material changes that significantly affect functionality.
8. Acceptable Use Policy
You agree to use TripNov only for lawful purposes and in accordance with these Terms. You must not use TripNov to:
- Send unsolicited bulk communications (spam) to clients or third parties.
- Upload, store, transmit, or distribute content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or that infringes third-party intellectual property rights.
- Probe, scan, or test the vulnerability of TripNov's systems, or attempt to circumvent any security, authentication, or access control mechanisms.
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of TripNov.
- Use automated scripts, bots, crawlers, or scrapers to access, extract, or index TripNov data without our express written permission.
- Store or process personal data of individuals under 16 years of age without a valid legal basis (e.g. verifiable parental consent).
- Impersonate TripNov staff, other users, or any third party in a manner that could mislead or deceive.
- Use TripNov to facilitate any fraudulent scheme, money laundering, or illegal financial activity.
- Use the AI Features to generate content that is false, misleading, defamatory, hateful, or intended to deceive travellers or third parties.
- Overload TripNov infrastructure through excessive API calls, denial-of-service activity, or other means that impair platform performance for other users.
- Sublicense, sell, resell, or make available the Service to third parties without our express written consent.
- Use TripNov in violation of any applicable law or regulation, including GDPR and other data protection laws.
Violations of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund, and may be referred to law enforcement authorities where required.
9. User Content and Data
Ownership. You retain all ownership rights to the User Content you create or upload to TripNov — including client records, travel proposals, trip itineraries, website content, images, and any other materials. TripNov does not claim ownership of your User Content.
License grant to TripNov. By uploading or submitting User Content to TripNov, you grant TripNov a limited, non-exclusive, royalty-free, worldwide licence to host, store, reproduce, transmit, display, and process your User Content solely as necessary to provide and improve the Service and to comply with our legal obligations. This licence terminates when you delete the content or close your account (subject to backup retention periods described in the Privacy Policy).
Representations and warranties. You represent and warrant that: (a) you own or have the necessary rights, licences, and permissions to upload and use your User Content; (b) your User Content does not infringe any third-party intellectual property, privacy, or other rights; and (c) your User Content does not violate any applicable law.
Client data responsibility. As a travel consultant, you are the data controller for your Client Data stored in TripNov. You are solely responsible for: having a lawful basis for collecting and processing your clients' data; providing your clients with adequate privacy notices; obtaining any necessary consents; responding to data subject rights requests from your clients; and complying with GDPR and all other applicable data protection laws. TripNov is not responsible for your compliance obligations as a data controller.
AI-generated content. AI Features may generate proposals, itinerary text, and chatbot responses based on your instructions and data. You are solely responsible for reviewing all AI-generated content before using it with clients. TripNov does not warrant the accuracy, completeness, reliability, or suitability of any AI-generated content. AI outputs do not constitute professional travel advice, legal advice, or financial advice.
No use of your data for AI training. TripNov does not use your User Content or Client Data to train AI models, except where you have given explicit consent to do so.
10. Data Processing Agreement
To the extent that you, as a TripNov subscriber, store and process personal data of your clients (travellers) within the TripNov platform, TripNov acts as your data processor under GDPR Article 28. By agreeing to these Terms, you and TripNov enter into the following Data Processing Agreement, which forms part of these Terms:
Subject matter: Processing of Client Data within TripNov Workspaces.
Duration: For the term of your TripNov subscription, plus the 30-day post-cancellation grace period.
Nature and purpose of processing: Storage, retrieval, transmission, and display of Client Data to enable the core features of the Service (CRM, proposals, itineraries, traveller portal, chatbot).
Types of personal data: May include names, email addresses, phone numbers, postal addresses, passport numbers, travel preferences, payment details, and communications.
Categories of data subjects: Your clients (travellers) and prospective clients who submit enquiries via your TripNov-hosted website.
Controller obligations: You (the subscriber) determine the purposes and means of processing. TripNov processes only on your instructions and does not process Client Data for its own purposes.
Sub-processors: TripNov may engage sub-processors as listed in our Privacy Policy (Section 7). We will notify you of material changes to our sub-processor list.
Security: TripNov implements technical and organisational measures as described in Section 10 of our Privacy Policy.
Assistance: TripNov will assist you in fulfilling your obligations to respond to data subject rights requests and to comply with GDPR Articles 32–36, to the extent reasonably possible given the nature of the processing.
Return/deletion: Upon termination, Client Data is deleted in accordance with the Privacy Policy retention schedules.
Enterprise or agency customers may request a signed standalone DPA by contacting legal@tripnov.com.
11. Intellectual Property
All aspects of TripNov — including the application source code, user interface design, feature architecture, logos, trademarks, trade names, website builder templates, AI prompt systems, and documentation — are owned by or licensed to TripNov, Lda. and are protected by copyright, trademark, trade secret, and other applicable intellectual property laws.
Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to access and use TripNov solely for your internal business purposes during the term of your subscription. This licence does not include the right to sublicense, sell, resell, copy, modify, reverse-engineer, or create derivative works based on TripNov's intellectual property.
“TripNov,” the TripNov logo, and associated marks are registered or unregistered trademarks of TripNov, Lda. You may not use these marks without our prior written consent, except as necessary to truthfully describe your use of the Service.
Feedback. If you submit feedback, ideas, or suggestions regarding TripNov (“Feedback”), you grant TripNov a perpetual, irrevocable, royalty-free, worldwide licence to use, modify, and incorporate that Feedback into TripNov without restriction or compensation to you. We are not obliged to act on any Feedback.
12. Third-Party Services and Integrations
TripNov integrates with third-party services including WhatsApp Business API (Meta Platforms), Telegram, Google Drive, Google Sheets, Stripe (payment processing), email service providers (Resend, Brevo), and AI model providers (Google Gemini, OpenAI). When you enable these integrations, you authorise TripNov to exchange data with those services on your behalf.
Your use of third-party services through TripNov is subject to those services' own terms and conditions and privacy policies, which you are responsible for reviewing and accepting. TripNov is not a party to your agreements with third-party providers and is not responsible for:
- The availability, functionality, or performance of third-party services.
- Changes to third-party APIs or policies that affect integration functionality.
- The data handling practices of third-party services.
- Any costs, fees, or rate limits imposed by third-party providers.
TripNov's website builder generates publicly accessible web pages at your TripNov subdomain or custom domain. You are solely responsible for ensuring that all content published via your TripNov website complies with applicable laws, does not infringe third-party rights, and does not make false or misleading claims to consumers.
TripNov's custom domain feature uses Cloudflare SSL provisioning. By using a custom domain, you acknowledge that your domain DNS must be properly configured and that you have the rights to use that domain.
13. Service Availability and Support
Uptime target. TripNov targets 99.5% monthly uptime for the core application, excluding scheduled maintenance windows. This is a target, not a contractual Service Level Agreement (SLA). No formal SLA guarantees apply to free or standard Pro plans. Enterprise plans may include contractual uptime commitments.
Scheduled maintenance. We perform scheduled maintenance during low-traffic windows and will provide advance notice via our status page (status.tripnov.com) and in-app notifications where possible.
Emergency maintenance. Emergency maintenance may occur without advance notice if necessary to address critical security vulnerabilities, data integrity risks, or catastrophic failures.
Support. Pro plan subscribers receive email support with a target first-response time of 1 business day (Monday–Friday, CET business hours, excluding Portuguese public holidays). Free plan users receive community support and access to our documentation. Support requests can be submitted via support@tripnov.com or through the in-app help portal.
No guarantee of availability. TripNov is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted, error-free, or secure access to the Service.
14. Limitation of Liability
Exclusion of consequential loss. To the maximum extent permitted by applicable law, TripNov and its directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including loss of revenue, loss of profits, loss of data, loss of clients, loss of goodwill, or business interruption — arising out of or related to your use of or inability to use TripNov, even if TripNov has been advised of the possibility of such damages and even if a remedy fails its essential purpose.
Cap on liability. TripNov's total cumulative liability to you for all claims arising out of or relating to these Terms or the Service — whether in contract, tort (including negligence), strict liability, or otherwise — shall not exceed the greater of: (a) the total amount you paid to TripNov in the 12 months immediately preceding the event giving rise to the claim, or (b) €100.
“As is” disclaimer. The Service is provided “as is” and “as available.” TripNov expressly disclaims all warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Mandatory consumer rights. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, liability for fraud or fraudulent misrepresentation, and any statutory rights you have as a consumer that cannot be waived.
15. Indemnification
You agree to indemnify, defend, and hold harmless TripNov, Lda. and its directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of TripNov in violation of these Terms or any applicable law.
- Your User Content or Client Data, including any claim that such content infringes a third party's rights.
- Your violation of any applicable law or regulation, including data protection law.
- Your failure to comply with your obligations as a data controller under GDPR or other applicable data protection legislation.
- Any dispute between you and your clients arising from your travel consulting services.
TripNov reserves the right, at its own expense, to assume exclusive defence and control of any matter subject to indemnification by you. You agree to cooperate with our defence of such claims.
16. Termination
Termination by you. You may close your TripNov account at any time by accessing your account settings or contacting support@tripnov.com. Upon termination, your access to paid features ceases at the end of the current billing period. Your data will be retained for 30 days after the end of the billing period, during which you may export your data. After 30 days, all data is permanently deleted.
Termination by TripNov. We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, if: you materially breach these Terms; you fail to pay subscription fees after a grace period; your account is used for fraudulent, abusive, or illegal purposes; continued operation of your account poses a risk to TripNov, other users, or third parties; or we are required to do so by law.
Notice of termination for cause. Where possible and not contrary to law or security interests, we will give you reasonable notice before terminating your account and an opportunity to remedy any breach. For severe violations (fraud, illegal activity, security threats), we may terminate without notice.
Effect of termination. Upon termination: your licence to use TripNov ceases immediately; your website and traveller portal go offline; your subdomain or custom domain stops resolving. Sections of these Terms that by their nature should survive termination shall survive, including: Section 9 (User Content), Section 11 (Intellectual Property), Section 14 (Limitation of Liability), Section 15 (Indemnification), Section 18 (Governing Law), and Section 19 (General Provisions).
17. Force Majeure
Neither party will be liable for any failure or delay in performance of its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond that party's reasonable control, including but not limited to: acts of God, natural disasters, pandemic, war, terrorism, civil unrest, governmental action, Internet or telecommunications disruptions, power outages, or failures of third-party service providers (“Force Majeure Event”).
The party affected by a Force Majeure Event will: (a) promptly notify the other party; (b) use reasonable efforts to mitigate the impact; and (c) resume performance as soon as reasonably practicable. If a Force Majeure Event affecting TripNov continues for more than 30 consecutive days, you may terminate your subscription and receive a pro-rated refund for the remaining unused Subscription Period.
18. Governing Law and Dispute Resolution
Governing law. These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) are governed by and construed in accordance with the laws of Portugal, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
Informal resolution. Before initiating formal legal proceedings, you agree to first attempt to resolve disputes informally by contacting us at legal@tripnov.com with a written description of the dispute and your proposed resolution. We will attempt to respond in good faith within 30 days. This informal resolution period is a condition precedent to litigation.
Jurisdiction. If informal resolution fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Lisbon, Portugal, except where mandatory consumer protection laws in your country of residence provide otherwise.
EU Online Dispute Resolution. The European Commission provides an Online Dispute Resolution (ODR) platform for consumers in the EU: ec.europa.eu/consumers/odr. Our email address for ODR purposes is legal@tripnov.com.
Consumer rights. Nothing in this section limits or excludes any mandatory rights you have as a consumer under the laws of your country of habitual residence.
19. General Provisions
Entire agreement. These Terms, together with our Privacy Policy and any other documents incorporated by reference, constitute the entire agreement between you and TripNov with respect to the Service and supersede all prior and contemporaneous agreements, representations, and understandings relating to the subject matter hereof.
Severability. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions of these Terms will continue in full force and effect.
Waiver. No failure or delay by TripNov in exercising any right or remedy under these Terms will constitute a waiver of that right or remedy. A waiver of any particular breach does not constitute a waiver of any subsequent breach.
Assignment. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. TripNov may freely assign its rights and obligations, including in connection with a merger, acquisition, or sale of assets. These Terms shall bind and inure to the benefit of the permitted successors and assigns of both parties.
Notices. All notices to TripNov must be sent by email to legal@tripnov.com. TripNov will provide notices to you at the email address associated with your account. Notices are effective upon receipt.
Language. These Terms are written in English. If translated, the English version shall prevail in the event of any inconsistency.
No third-party beneficiaries. These Terms do not confer any rights on any third party. The parties do not intend these Terms to be enforceable by any person who is not a party to them.
20. Changes to Terms
We may revise these Terms from time to time to reflect changes in law, platform functionality, or our business practices. When we make material changes, we will notify you by email at least 14 days before the changes take effect, and display a prominent notice within the TripNov application. For non-material changes, we will update the “Last updated” date at the top of this page.
Your continued use of TripNov after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using TripNov and cancel your subscription before the effective date. In that case, you will be entitled to a pro-rated refund of any prepaid and unused subscription fees for the period after the effective date of the revised Terms.
